• Representation of the buyer in the purchase of 7 television stations, 26 radio stations and over 120 newspapers in 20 states.
• Counsel to a start-up web-based medical information and services company in connection with developing template documents for employees and independent contractors, revising its capital structure to facilitate raising investment capital, preparation of an equity incentive plan and related documentation and representation of the company in connection with a convertible note and warrant financing.
• Representation of the US subsidiary of an Australian public company in connection with its sale of a substantial US business unit with assets in six states.
• Counsel to a start-up technology company which delivers software applications via the internet using a "SAAS" model (software as a service), including choice of entity, incorporation, representation through several rounds of angel financing, preparation of license agreements and general corporate representation.
• Representation of a buyer and a seller of two NHL professional hockey teams.
• Representation of senior management in connection with the purchase of all of the stock of a specialty services company from the founding shareholders.
• Counsel to a minor league professional baseball team in connection with the sale of shares to outside investors, including compliance with federal and state securities laws.
• Representation of a start up developer of data security software in connection with the tax free merger of the client with a larger venture capital backed company.
• Counsel to a specialty manufacturer in multiple equipment leasing transactions, commercial contracts, protection of intellectual property, contract manufacturing of production equipment and the sale of the company's largest division to a public company.
• Representation of an NHL professional hockey team in connection with the sale of shares in a private placement to outside investors.
• Representation of the general partners in the formation and funding of a $120 million leveraged buyout fund and formation of an affiliated management company.
• Counsel to a start-up management consulting firm in connection with organizational and governance matters, commercial contracts, protection and licensing of a proprietary data base, expansion throughout the U.S and Western Europe and the ultimate sale of the firm to a large pre-IPO company for cash and stock of the buyer.
• Formation of a start-up direct response retailer of consumer products and follow-on representation through two rounds of venture capital financing and the ultimate sale to a public company.
• Counsel to an early stage internet based distributer of consumer products in connection with the sale of shares to private investors, commercial contracts and the restructuring of convertible notes previously issued to investors.
• Representation of a small distributer of commercial and consumer products in combining the historic businesses of two companies, negotiation of sales agent agreements with manufacturers and related matters.
• Counsel to a Georgia based technology holding company in connection with the purchase of multiple operating companies in the US, Canada and Western Europe.
• Representation of a large publicly held national retailer in connection with commercial contract, equipment leasing, out-sourcing and licensing matters.
• Counsel to a major university in connection with its investment of endowment funds in various private equity and hedge funds.
• Formation of numerous private equity funds focused on real estate investments and leveraged buyouts of operating companies for five separate sponsors and the private placement of interests in those funds to accredited investors.
• Representation of the US subsidiary of a German company in connection with the contract manufacturing, commissioning and maintenance of wind turbines to developers of wind turbine farms throughout the US and Canada.
